1. Acceptance

These Terms & Conditions govern use of the BrightGrowUs website and engagement with BrightGrowUs services. By using the website or purchasing services, the client agrees to these terms and any applicable proposal, quotation, statement of work or service agreement.

2. Services

BrightGrowUs may provide Meta Ads, Google Ads, performance marketing, creative development, landing pages, websites, tracking, analytics, conversion optimisation and related marketing services.

3. Client Responsibilities

• Provide accurate business, product and contact information.
• Provide timely access, assets, approvals and information.
• Ensure products, claims, pricing and business practices comply with applicable laws and advertising-platform policies.
• Maintain appropriate rights to materials supplied to BrightGrowUs.

4. Guaranteed ROAS Program

Where BrightGrowUs offers a Guaranteed ROAS arrangement, the target and all eligibility conditions must be expressly agreed in writing. The guarantee applies only to the defined measurement period and agreed scope.

The Guaranteed ROAS arrangement is not a promise of business profit, revenue, sales volume or uninterrupted advertising performance. It is a contractual fee arrangement based on the agreed ROAS measurement.

5. ROAS Measurement

The applicable agreement should specify the attribution source, revenue definition, ad spend included, time window, minimum budget, products or campaigns included, exclusions and reporting source. Without a written Guaranteed ROAS term, standard service pricing applies.

6. Platform Decisions

Meta, Google and other platforms operate independently and may reject, restrict, suspend or modify campaigns or accounts. BrightGrowUs cannot guarantee platform approval, uninterrupted delivery or specific campaign results outside an expressly agreed Guaranteed ROAS fee arrangement.

7. Performance

Except for a specific written Guaranteed ROAS fee arrangement, marketing results are not guaranteed. Performance can be affected by competition, pricing, product-market fit, website conversion rate, creative, customer demand, tracking and platform changes.

8. Third-Party Services

Third-party tools and platforms may be used in service delivery. Their availability, policies and decisions remain outside BrightGrowUs's control.

9. Changes

These terms may be updated from time to time. Specific signed service agreements may contain additional or different commercial terms that govern the relevant engagement.
